Trade terms

These terms govern wholesale trade with ONE OF A KIND. They apply to buyers and suppliers. Retail purchases are covered by separate consumer terms.

These terms are a working draft for a business that has not launched. Have them reviewed by a lawyer in your jurisdiction before trading on them.

1. Who can trade with us

ONE OF A KIND Wholesale sells to businesses only. Accounts are granted at our discretion and we may ask for company registration details or a trading reference before approving one.

You are responsible for keeping your login details secure and for everything done through your account. Tell us immediately if you believe someone else has access.

2. Orders are not binding until we confirm them

Placing an order reserves stock but does not form a contract. A contract exists only once we confirm the order. Until then we may decline it or adjust it, for example where stock has been damaged or mis-counted.

Prices are quoted in US dollars and exclude freight, duties and local taxes unless stated otherwise. A minimum order value applies and is shown at checkout.

3. Payment and ownership

Verified buyers are invoiced on Net 30 terms by bank transfer. New accounts may be asked to pay before dispatch until a trading history is established.

Ownership of the goods passes to you on receipt of payment in full. Risk passes on delivery to you or your nominated carrier. We may charge interest on overdue invoices and may suspend an account while an invoice is outstanding.

4. Grading

Every piece is graded by hand against our published standard: Grade A retail-ready, Grade B commercial, Grade C workwear, rework and upcycle. Full definitions are on our About page.

Grading is a judgement made in good faith by trained staff. Variation within a grade is normal and expected in second-hand clothing. A grade is a description of condition, not a guarantee of resale value.

5. Delivery

We ship from our hubs in Karachi and Dubai. Delivery dates are estimates and not guaranteed. We are not liable for delays caused by carriers, customs or events outside our control.

You are the importer of record. Duties, taxes and customs clearance in the destination country are your responsibility, as is checking that the goods may lawfully be imported.

6. Claims and returns

Check your goods on arrival. If they materially differ from their grade or description, tell us within 7 days of delivery with photographs and your order number.

Where a claim is upheld we will replace the goods, issue a credit or refund them, at our option. We do not accept returns because stock did not sell, because you changed your mind, or for variation that falls within the stated grade.

7. Supplier terms

Suppliers submit stock with an asking price. A submission is an invitation to treat and not an offer we are obliged to accept.

Where we agree to buy, we buy outright. We are not a consignment or commission agent. You warrant that you own the goods, that they are free of any charge, and that they have been described accurately, including weight, category and condition.

We arrange and pay for freight to our hub unless agreed otherwise. Payment is made on the terms agreed at purchase. If goods materially differ from the submission we may renegotiate the price or return them at your cost.

8. Confidentiality between buyers and suppliers

Buyers and suppliers are not introduced to each other and are not told each other’s identity. All communication runs through us. Attempting to identify or approach the other side may result in your account being closed.

9. Liability

Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything else that cannot lawfully be limited.

Subject to that, our total liability for any order is limited to the amount you paid for the goods in question. We are not liable for loss of profit, loss of business or any indirect loss.

10. Changes to these terms

We may update these terms. The version in force is the one published when you place your order. Material changes are notified to account holders in advance.
